About Omega1 Group

What does Omega1 Group do?

Omega1 Group is a sell-side M&A consulting and exit-readiness firm. We work with founder-owned Medical Supply and DME, FinTech and MedSpa businesses in the USA and Canada to strengthen the systems buyers look at, then prepare and run a confidential sale when the owner is ready.

Do you buy businesses?

No. Omega1 Group is an advisor that works for the owner. We do not buy companies or make purchase offers.

Do you work with companies in Canada?

Yes. We work with owners across the USA and Canada in English-language engagements and coordinate with your accountant and lawyer on tax and legal questions.

What happens on the 15-minute exit call?

A confidential, no-cost conversation about your business, your timeline and what you want from an exit. You get a straight read on where you stand. If there is a fit, we explain the next step and how an engagement would work before anything is signed.

Exit readiness and value

Why does a business that runs without the owner sell for more?

Because buyers pay for cash flow that survives your exit. When sales, operations and reporting depend on the owner, buyers see more risk and typically offer less or tie more of the price to earn-outs. Documented systems, a capable team and reliable reporting reduce that risk. Read more.

How long does exit-readiness consulting take?

It depends on where you start. Many owners work on readiness for 12 to 24 months before a sale, with early improvements in the first few months.

Do I have to sell after working with you?

No. Many of the same improvements make the company more profitable and easier to run, whether you sell soon, later or not at all.

What is an earn-out?

An earn-out is a part of the purchase price paid after closing only if the business meets agreed targets. Buyers use earn-outs to share risk when they are unsure future performance will hold up.

The sale process

Is the process confidential?

Yes. We never publicly list your business. Buyer conversations happen only under a signed NDA, with details shared step by step.

What kinds of buyers do you approach?

It depends on your goals and industry: strategic acquirers, investor-backed platforms, independent sponsors and individual operators, and in some cases management or family successors. We start by leveraging a private M&A network, in which family offices, investors, private equity firms and business owners participate, and extend outreach beyond it where that serves you better.

Who participates in the private M&A network Omega1 Group leverages?

Omega1 Group leverages a private M&A network in which family offices, investors, private equity firms and business owners participate. When an owner decides to sell, we leverage that network, along with targeted outreach beyond it, to identify buyers who may fit the owner's goals. Your company's identity is shared only with your permission and after a signed NDA.

Does the M&A network you leverage guarantee a buyer for my business?

No. Nobody can honestly guarantee a buyer, a price or a closing, and you should be wary of anyone who does. The network is one way we reach serious buyers. Results depend on your business, how ready it is and the market. Our job: prepare you hard and run a confidential, competitive process.

Do I need my own attorney and accountant?

Yes. We work alongside your attorney and accountant, who advise you on legal, tax and structuring questions.

How long does the whole process take?

It depends on how ready the business is. Readiness work often runs 12 to 24 months for owners who start early; the sale process itself follows once the company and its information are prepared. We give you a realistic timeline after the readiness review.

Medical Supply & DME

How long does it take to sell a DME company?

Preparation usually matters more than the sale itself. Many owners spend months tightening financials, documentation and team structure before going to market, and the sale process then runs through buyer outreach, offers, diligence and closing. We give you a realistic timeline after reviewing your business.

Will my referral sources or staff find out I'm thinking about selling?

Not from us. Your business is never publicly listed, buyers sign an NDA before receiving details, and we agree with you up front on when and how key people are told.

Does competitive bidding affect the value of my company?

It can. Buyers will ask which of your product categories and markets are exposed to the Round 2028 DMEPOS Competitive Bidding Program and how you plan to respond. Having a clear answer, backed by your payer data, reduces uncertainty in diligence.

FinTech

Should I sell my merchant residuals or the whole ISO?

It depends on your goals. Selling residuals can be simpler and faster, while selling the operating company can capture the value of your team, sales engine and relationships. We walk through both paths with your numbers before you decide.

What do buyers look for in a payroll company?

Client retention, recurring revenue per client, the quality of your payroll and tax-filing operations, error and penalty history, technology platform, and whether the business runs without the owner.

Does my sponsor bank or processor agreement affect a sale?

Often, yes. Many agreements include change-of-control or assignment clauses. Reviewing them early avoids surprises late in a deal.

MedSpa

What is my med spa worth?

Value depends on profitability, repeat-client revenue, provider stability, ownership structure and how dependent the practice is on you. We don't quote numbers on a first call; we look at your business and explain the factors that move value up or down.

Can a non-physician owner sell a med spa?

Often yes, but the rules depend on your state or province and on how the practice is structured. Your healthcare attorney should confirm what can transfer and how.

Will my providers stay after a sale?

That is one of the first things buyers ask. Planning retention early, with clear agreements and a transition plan, protects both your value and your team.
