OMEGA1 GROUP

FinTech

Selling a payroll, payments or FinTech company? Protect your number.

Buyers pay for recurring revenue they can trust and discount everything else. Omega1 Group helps founders of payroll bureaus, merchant services and ISOs, and banking, lending and insurance software companies in the USA and Canada lock down revenue quality, compliance and partner risk, then runs a confidential, competitive sale.

How do I sell my payroll or payments company?

Document the quality of your recurring revenue (client retention, contract terms and residual history), show a clean compliance record, reduce dependence on any single sponsor bank, processor or owner relationship, and then approach qualified buyers confidentially. Decide early whether you are selling the whole company or a portfolio of residuals, because the buyers and the process differ.

Value drivers

What buyers will scrutinize in your FinTech company

Every gap here is leverage for the buyer. We help you close them before you go to market.

Recurring revenue quality

Retention, contract length, pricing discipline and how predictable the monthly revenue or residual stream is.

Compliance posture

Evidence of compliance with the rules that apply to you, for example PCI DSS for payments businesses, plus clean exam, audit and incident history.

Partner and platform dependence

How concentrated you are on one sponsor bank, processor or core platform, and what your agreements say about change of control.

Client concentration

Whether a few clients or a single referral channel drive a large share of revenue.

Technology and data

Ownership of your software or integrations, security practices and how cleanly client data can transfer.

Owner dependence

Who holds the key bank, processor and client relationships, and whether a second layer of leadership exists.

Buyer types

Who buys FinTech companies

Strategic acquirers

Larger payroll, payments or software companies adding clients, products or geography.

Private equity-backed platforms

Investor-backed consolidators building scale in payroll, payments and vertical software.

Portfolio and residual buyers

Buyers focused on merchant residual streams rather than the whole operating company.

Management buyouts and operators

Internal leaders or experienced operators acquiring a single company with outside financing.

Omega1 Group leverages a private M&A network that includes family offices, investors, private equity firms and business owners. For FinTech owners, we combine the network with targeted outreach to strategic acquirers in payroll, payments and banking software to find buyers who may value your recurring revenue and partner relationships.

Different buyers pay for different things. A competitive process puts them side by side so you can compare price, terms, your role and your team, instead of taking the first offer.

Don't negotiate with one buyer. Run a process.

USA & Canada

Selling in the US vs. Canada

United States

In the US, buyers look closely at money-transmission and state licensing where relevant, sponsor-bank agreements, processor contracts and change-of-control clauses, and card-network security requirements. The PCI Security Standards Council made the future-dated requirements of PCI DSS v4.x mandatory as of March 31, 2025, so expect questions about how you meet them.

Canada

In Canada, buyers review provincial and federal requirements that apply to your services, payments partner agreements and privacy obligations for client and employee data. We work in English-language engagements and coordinate with your Canadian accountant and lawyer on structure and tax.

This is general information, not legal or tax advice. We coordinate with your attorney and accountant on regulatory and structuring questions.

FAQ

Questions owners ask

Should I sell my merchant residuals or the whole ISO?

It depends on your goals. Selling residuals can be simpler and faster, while selling the operating company can capture the value of your team, sales engine and relationships. We walk through both paths with your numbers before you decide.

What do buyers look for in a payroll company?

Client retention, recurring revenue per client, the quality of your payroll and tax-filing operations, error and penalty history, technology platform, and whether the business runs without the owner.

Does my sponsor bank or processor agreement affect a sale?

Often, yes. Many agreements include change-of-control or assignment clauses. Reviewing them early avoids surprises late in a deal.

Is the process confidential?

Yes. We never publicly list your business, buyers sign an NDA before receiving details, and information is shared in stages.

Do you buy FinTech companies?

No. Omega1 Group is an advisor that works for the owner. We do not buy companies or residual portfolios.

Do you work with companies in Canada?

Yes. We work with owners across the USA and Canada in English-language engagements.
